Terms of Service

1. Acceptance of Terms

By accessing or using any ManyLayers product, platform, or documentation (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. Description of Service

ManyLayers provides a sovereign AI gateway and enterprise LLM platform, including Gateway, Workspace, and Deploy modules, available as SaaS, hybrid, and self-hosted deployments. Features and availability may vary by subscription tier and deployment type. We reserve the right to modify, suspend, or discontinue features with reasonable notice.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at hello@manylayers.io if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms, engage in abusive behavior, or compromise platform security.

4. Acceptable Use

You agree not to use the Service to: (a) violate applicable law or regulation; (b) infringe intellectual property rights of third parties; (c) transmit malware or conduct denial-of-service attacks; (d) reverse-engineer proprietary components beyond what is permitted by open-source license; (e) resell or sublicense the managed Service without written authorization; or (f) use the Service to train models that directly compete with ManyLayers without prior written consent.

Self-hosted deployments are governed by your applicable license agreement. The self-hosted tier is provided under a commercial source license — refer to the LICENSE file in the repository for full terms.

5. Data and Privacy

Our collection and use of your data is described in our Privacy Policy. For SaaS and hybrid deployments, you retain ownership of all data you process through the Service. ManyLayers does not use your prompts, completions, or model outputs to train models or for any purpose beyond operating and improving the Service. Enterprise customers may execute a Data Processing Agreement (DPA) or Business Associate Agreement (BAA) on request.

6. Payment and Billing

Fees for managed SaaS and enterprise licenses are set out in your order form or subscription agreement. All fees are exclusive of applicable taxes. Late payments may result in service suspension. ManyLayers does not mark up model provider API costs — you pay providers directly with your own keys.

7. Disclaimer and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANYLAYERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL MANYLAYERS'S AGGREGATE LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes shall be resolved by binding arbitration under JAMS rules, except that either party may seek injunctive relief in any court of competent jurisdiction.
